TERMS AND CONDITIONS OF USE

Applicable from 1st January 2024

This document, along with all documents referred to on it, explains the terms and conditions for using squaredeal.co.uk, all sub-domains and Squaredeal mobile Apps whether as a visitor or Registered User.

Before using Squaredeal you must carefully read these Terms and Conditions of Use along with all referenced documents. By using Squaredeal you indicate that you accept these Terms and Conditions of use and you agree to abide by them. If you do not agree with these Terms and Conditions of use and any referenced documentation please do not use Squaredeal.

If you register as a user you will be asked to accept these Terms and Conditions of use. If you refuse to click on ‘Accept’ but continue to use Squaredeal as a non-registered user, your continued use of Squaredeal will indicate acceptance of these Terms and Conditions of use.

  1. DEFINITIONS USED IN THESE TERMS AND CONDITIONS OF USE

When the following terms are used in bold in these Terms and Conditions of use, they have the definitions set forth in this section. Please refer to this Definitions section whenever you see a term in bold.

“Buyer” means any User who buys or wishes to buy one or more Item(s) on the Site;

“Catalogue” means the electronic catalogue of Items that Sellers have listed for sale via the Site.

Catalogue Rules”  means the rules for the Catalogue, including what ItemsUsers may list on the Site.

"Confirmation" means our e-mail confirmation to you that you have become a Registered User.

"Content" means the data, text, information, listings,, messages, details, screen names, photographs, graphics, software, files, sounds, images and all other material on Squaredeal.

Hosting Services” means the hosting services offered by Squaredeal on, or through, the Site, that enable Users to list Items in the Catalogue, to find and examine offers for freecycle, buy, offer, swap or rent on the Site, and to communicate in private and/or in public.;

“Integrated Payment System”  means the online payment system allowing Users to pay for Items and Services on the Site, where the payment service is provided by the Integrated Payment System Provider;

“Integrated Payment System Provider” means any authorised payment service provider, which has contracted with Squaredeal to provide payment services on the Site.

"Items" means all goods or services offered for freecycle, buy, offer, swap or rent that have been listed on Squaredeal.

"Minor" means a person under 18 years of age.

"Post" means listed, display, exhibit, publish, distribute, upload, transmit and/or disclose and the words "Posted" and "Posting" shall be interpreted accordingly.

“Private Messages” means communication by an exchange of private messages between Users via the Site’s messaging system, where the messages are not publicly displayed on the Site;

“Privacy Policy” means the document that defines the manner in which Squaredeal collects, uses, processes, stores and transfers personal data;

"Registered User" means anyone who has a Squaredeal account and includes a Subscribed User.

“Seller” means any User who lists one or more Item(s) in the relevant Catalogue of the Site.

"Services" means all or any services provided by us through Squaredeal.

"Site" means all web pages available under the domain thesquaredeal.co.uk and its subdomains and all screens on the Squaredeal mobile Apps.

Social networks Accounts” means Squaredeal’s accounts on Facebook, Google+, Twitter, Instagram, Pinterest, YouTube and other social networks where information is provided about the Site and the Services it offers, sharing the contents published by Users;

"Squaredeal" means all web pages available under the domain squaredeal.co.uk and its subdomains and all screens on the Squaredeal mobile Apps.

"Subscribed User" means a Registered User who has paid their subscription to obtain items.

"Terms" means these Terms and Conditions of use, our Privacy Policy and any documents to which they refer.

“User”  means any person who has created an account on the Site and has accepted these Terms and Conditions of use.

“Visitor” means any individual who visits the Site, but who has not created an Account.

  1. INTRODUCTION

2.1 squaredeal.co.uk and the Squaredeal mobile Apps are operated by Selling Freedom Lts as "Squaredeal". ("we", "our", "us").

2.2 We are registered in England and Wales under company number 12480846.

2.3 Our registered office: 50 East Works Drive, Cofton Hackett, Birmingham, B45 8GS.

2.5 We are a limited company.

2.6 Squaredeal offers Hosting Services as an intermediary between Buyers and Sellers. Buyers and Sellers may do deals for items listed for freecycle, sale (buy), offer (haggle), swap and rent (borrow) under the terms present in the listing or via negotiation between the parties.

2.7 Sellers are permitted to catalogue Items, buyers are permitted to locate Items, and Registered Users are entitled to exchange their reasonably held and lawful perspectives and judgments.

2.8 We disclaim responsibility for agreements for the provision of commodities, services, or information established via Squaredeal (or due to visits conducted on Squaredeal) between yourself and other Squaredeal participants.

2.9 Any agreement is exclusively between the buyer and the seller and is subject to the legal implications of terms and conditions or mutual agreements established between the buyer and seller.Squaredeal is not a participant in the agreement between the seller and buyer, nor does Squaredeal bear liability under said agreement.

2.10 We do not offer any warranties or assurances regarding the Items you acquire (or attempt to acquire) from third-party sellers via Squaredeal, or from entities whose website links are provided on Squaredeal. Any such warranties and assurances are expressly DISAVOWED by us. This DISCLAIMER does not impinge upon your statutory entitlements against the third-party seller.

  1. ACCESS TO SQUAREDEAL

3.1 Periodically, we may limit access to certain sections or the entirety of Squaredeal to Registered Users and Subscribed Users..

3.2 When using Squaredeal, you must adhere to the provisions outlined in our acceptable use policy published at www.thesquaredeal.co.uk.

3.3 You are accountable for making all necessary arrangements to access Squaredeal. It is also your responsibility to ensure that all individuals accessing Squaredeal through your internet connection are informed of these Terms and Conditions and comply with them."

REGISTERED USERS

3.4 By registering as a Squaredeal user, you affirm that:

(a) You possess the legal capacity to engage in binding contracts; and

(b) You are at least 18 years old.

 3.5 Your application to become a Squaredeal user constitutes an offer by you to enter into a binding contract with us for user registration. We retain the discretion to accept or reject your application in accordance with applicable laws.

3.6 A contractual agreement concerning your Squaredeal usage as a Registered User shall commence, and these Terms and Conditions shall be enforceable upon you and us once you initiate use of Squaredeal as a Registered User.

3.7 English is the sole language through which our contractual agreement may be finalised.

  1. SUBSCRIBED USERS

4.1 Some Services provided by Squaredeal require full payment before utilisation. In such instances, the payable amount will be expressly specified.

4.2 Squaredeal reserves the right to modify prices periodically. In such cases, advance notice will be given, affording you the opportunity to refuse payment. Should payment be declined, the corresponding Services will not be provided.

4.3 Unless otherwise specified, prices are inclusive of Value Added Tax.

4.4 We will not initiate provision of paid-for Services (and hold no obligation to do so) until receipt of advance payment as per these Terms and Conditions.

4.5 In the event of delayed payment, we retain the right to suspend or terminate the provision of paid-for Services until outstanding amounts are settled, without prejudice to any other remedies or rights we may possess.

4.6 Squaredeal subscriptions will be automatically renewed per the upgrade type/offer. You retain the option to opt out of automatic renewal at any time. Payments made before subscription cancellation are non-refundable, preserving your statutory rights.

4.7 Squaredeal subscribed users can be temporarily suspended from using the service in accordance with the Mutual Three Strikes Rule for an undisclosed period of time. An explanation of the rule can be found here: https://thesquaredeal.co.uk/three-strikes-rule.

  1. LISTING ON SQUAREDEAL

5.1 You bear sole responsibility for your Content while using Squaredeal. We hold no responsibility or liability whatsoever for the content or accuracy of any Content Posted by you or any other user of Squaredeal.

5.2 You must refrain from using Squaredeal, or allowing anyone else, to Post any Items, Content, or other materials that:

(a) fail to meet the guidelines specified on www.thesquaredeal.co.uk.

(b) violate our Acceptable Use Policy found on www.thesquaredeal.co.uk.

5.3 You warrant that any Content Posted by you will adhere to those standards, and you indemnify us for any breach of that commitment.

5.4 Any Content Posted on Squaredeal shall be considered non-confidential and non-proprietary. By Posting Content, you grant us an irrevocable, global, royalty-free, and sub-licensable license and right to use, copy, distribute, and disclose such Posts and Content to third parties for any purpose.

  1. NO DUTY TO MONITOR OR MODERATE

6.1 We are not obligated to monitor or record the activities of any Squaredeal user on your behalf.

6.2 Content generated by Registered Users remains unmoderated.

6.3 We retain the right (but not the obligation) to oversee any Posting or Content. We reserve the right to reject, reclassify, or delete any Post or modify any Content, including (but not limited to) instances where:

(a) in our judgment, such material fails to comply with our Terms and Conditions; or

(b) we receive notification that it might be offensive, illegal, or defamatory.

6.4 It's important to note that Content encompasses messages conveyed through our online messaging service. Consequently, messages are neither confidential nor proprietary. We reserve the right to view, reject, reclassify, or remove messages, even if they haven't been accessed."

  1. STORAGE OF CONTENT (INCLUDING MESSAGES)

7.1 We disclaim responsibility for any deletion or failure to store, deliver, or timely deliver messages or other Content.

7.2 We reserve the right, occasionally and without notice, to impose limits on the quantity of messages a Registered User may send, store, or receive via the Service. We retain the right to delete messages that surpass these limits without any associated liability. Any notification regarding such limits provided by us does not establish an obligation to provide future notifications.

  1. OTHER USERS OF SQUAREDEAL: RISKS

8.1 By utiliSing Squaredeal, you acknowledge the possibility of receiving or being exposed to third-party Content that may be indecent, offensive, or objectionable. Your use of Squaredeal is at your own risk, and we bear no responsibility for such third-party content.

8.2 We cannot authenticate the identities of users, implying that some users may not be who they claim to be.

  1. MINORS

9.1 Minors are prohibited from becoming Registered Users on Squaredeal without parental or guardian consent.

9.2 Minors are restricted from accessing areas of Squaredeal designated for individuals 18 years and older. Parents and guardians are responsible for ensuring compliance.

9.3 Supervision of Minors on Squaredeal falls under the responsibility of parents and guardians and is not our liability.

9.4 We advise parents and guardians allowing minors to use Squaredeal to engage in conversations about online safety. This responsibility does not fall upon us. Minors using Squaredeal should be informed by you about potential risks and their obligation to adhere to the Terms.

  1. PRIVACY AND DATA PROTECTION

10.1 We handle information about you in line with our privacy policy available on www.thesquaredeal.co.uk. By utiliSing Squaredeal, you consent to this processing and affirm that all provided data is accurate.

  1. THIRD PARTY RIGHTS OWNERS

11.1 We retain the right to disclose your identity (and relevant Content) to any third party alleging that your behaviour, Posted Content, or advertised Item is illegal, breaches these terms, infringes upon intellectual property rights, or otherwise violates the rights of that third party.

11.2 Rights holders believing that Content has infringed upon their rights should email: info@thesquaredeal.co.uk.

  1. INTELLECTUAL PROPERTY RIGHTS

12.1 We are the proprietor or licensee of all intellectual property rights in Squaredeal and in the Content Posted on it. These works are protected by copyright laws and international treaties. All rights reserved.

12.2 You may print a single copy and download excerpts of any page(s) from Squaredeal for personal reference. You may also bring the attention of others within your organisation to Content Posted on Squaredeal.

12.3 You must not alter paper or digital copies of any Content printed or downloaded in any manner. Furthermore, you must not use Content separately from accompanying text.

12.4 Our status (and that of any identified contributors) as the authors of Squaredeal's Content must always be acknowledged.

12.5 You may not use any part of the Content on Squaredeal for commercial purposes without obtaining a license from us or our licensors.

12.6 Your right to use Squaredeal will immediately cease if you print, copy, or download any part of it in violation of these terms. At our discretion, you must either return or destroy any copies of the Content you have made.

  1. LINKING TO SQUAREDEAL

13.1 You may link to Squaredeal as long as the link is fair and legal, does not damage our reputation, and does not imply any form of association or endorsement where none exists.

13.2 Squaredeal must not be framed on any other site. We reserve the right to revoke linking permission without notice. The linking website must comply with the content standards detailed in our acceptable use policy available on www.thesquaredeal.co.uk.

  1. LINKS FROM SQUAREDEAL

14.1 Squaredeal may contain links to third-party sites and resources for informational purposes. We have no control over the content of these sites or resources and accept no responsibility for them or for any loss or damage resulting from their use.

  1. VIRUSES, HACKING, AND OTHER OFFENCES

15.1 You are prohibited from intentionally introducing viruses, trojans, worms, or other malicious or technologically harmful material to Squaredeal. Attempting unauthorised access to Squaredeal or connected servers, computers, or databases is also prohibited. Additionally, you must refrain from launching denial-of-service attacks.

15.2 Breaching this provision constitutes a criminal offence under the Computer Misuse Act 1990. Any such breach will be reported to law enforcement authorities, and your access to Squaredeal will immediately terminate.

15.3 We are not liable for any loss or damage resulting from distributed denial-of-service attacks, viruses, or other technologically harmful material that may affect your computer, data, or proprietary materials due to your use of Squaredeal or any linked websites."

  1. LIMITATION OF LIABILITY

16.1 The material displayed on Squaredeal (including Content and Posts) is provided without any guarantees, conditions, or warranties regarding its accuracy.

16.2 Subject to clause 16.3, to the extent permitted by law, we, other members of our group of companies, and connected third parties expressly exclude:

(a) All implied conditions, warranties, and other terms by statute, common law, or equity;

(b) Any liability for direct, indirect, or consequential loss or damage incurred by users in connection with Squaredeal, its use, inability to use, or results of use, including, without limitation:

(i) Loss of income, revenue, or business;

(ii) Loss of profits or contracts;

(iii) Loss of anticipated savings;

(iv) Loss of data;

(v) Loss of goodwill;

(vi) Wasted management or office time; and

for any other kind of loss or damage, regardless of the cause—whether tort (including negligence), breach of contract, or otherwise—even if foreseeable. This condition does not limit claims for loss of or damage to your tangible property or any other claims for direct financial loss not excluded by the categories above.

16.3 Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraudulent misrepresentation, misrepresentation as to a fundamental matter, or any other liability that cannot be excluded or limited under applicable law.

Without prejudice to the general limits on our liability in clause 16.3 and subject to clause16.2:

(a) We are not obliged to monitor or record the Postings, Content, or user activities on Squaredeal;

(b) We do not assume any responsibility for the quality, safety, or legality of Items;

(c) We do not assume any responsibility for the truth or accuracy of any Postings or Content;

(d) We make no assurances, warranties, or guarantees about your ability to buy or sell Items using Squaredeal;

(e) We are not accountable for third parties. For instance, it's not our responsibility if a seller fails to deliver Items, if the Items are misrepresented, or if a buyer does not pay for Items.

  1. NO RELIANCE

17.1 Commentary and materials posted on Squaredeal do not constitute advice for reliance. Therefore, we disclaim liability and responsibility arising from any reliance placed on such materials by visitors or individuals informed of its contents.

  1. EVENTS OUTSIDE OF OUR CONTROL

18.1 We will not be liable or responsible for matters arising from events outside our reasonable control, including but not limited to:

(a) Strikes, lock-outs, or other industrial action;

(b) Civil commotion, riots, invasions, terrorist attacks, or threats thereof;

(c) Fires, explosions, storms, floods, earthquakes, epidemics, or other natural disasters;

(d) Impossibility of using public or private transportation means;

(e) Impossibility of using telecommunications networks.

Each termed a "Force Majeure Event."

18.2 Our obligations are suspended for the duration of a Force Majeure Event. We will extend the time to perform these obligations accordingly and take reasonable steps to resolve the event."

  1. INTERRUPTION OF SERVICE

19.1 Access to Squaredeal is permitted on a temporary basis. We reserve the right to interrupt, withdraw, or modify the Service without notice. For instance, if it is necessary or advisable to interrupt the Service (e.g., for routine maintenance), we may do so without prior notification.

19.2 You acknowledge that we are not liable to you for any loss, whether foreseeable or not, arising from or related to the unavailability or interruption of the Service, except that if you are a Subscribed User and the Service remains unavailable for a continuous period of 7 days, your sole remedy is to terminate your contract, and we will refund the unused portion of your fees.

  1. ENDING OUR CONTRACT

20.1 You may terminate your registration at any time, for any reason, with immediate effect by contacting us via email to info@thesquaredeal.co.uk. We reserve the right to validate any request to terminate registration.

20.2 We reserve the right to terminate your registration at any time, for any reason, with immediate effect by contacting you at your last known postal or email address.

20.3 We may terminate your registration without notice if you breach our Terms and Conditions, including, without limitation, our Acceptable Use Policy and listing guidelines available on www.thesquaredeal.co.uk.

  1. REFUND POLICY

21.1 If you terminate your registration for reasons other than our breach, we will not refund any monies to you.

21.2 If we terminate for reasons other than your breach, we will refund to you, within fourteen days, the balance of any monies paid to us (and received by us) related to Services to be provided (but not provided) after the termination date.

  1. OTHER CONSEQUENCES OF ENDING OUR CONTRACT

22.1 Termination by either party shall result in the following:

(a) Your right to use the Services will immediately cease;

(b) We are not obliged to forward any unread or unsent messages to you or any third party.

22.2 Termination will not affect either party's outstanding rights or obligations up to the termination date, including our right to recover from you any money owed to us.

  1. WRITTEN COMMUNICATIONS

23.1 Applicable laws stipulate that certain information or communications we send to you should be in writing. When using Squaredeal, you agree that communication with us will be primarily electronic. We will contact you via email or provide information by posting notices on our website. For contractual purposes, you consent to this electronic means of communication and acknowledge that all contracts, notices, information, and other communications provided to you electronically comply with any legal requirement for written communication. This condition does not affect your statutory rights."

  1. NOTICES

24.1 All notices given by you to us must be directed to Selling Freedom Ltd by email to info@thesquaredeal.co.uk. We reserve the right to issue notice to you through the email or postal address you provide during registration or by posting information on Squaredeal. Notice will be deemed received and duly served immediately upon being posted on Squaredeal, 24 hours following an email transmission, or three days after the posting date of any letter. In proving the service of any notice, it shall be adequate to demonstrate, in the case of a letter, that such correspondence was properly addressed, stamped, and posted, and in the case of an email, that the email was sent to the specified recipient's email address.

  1. TRANSFER OF RIGHTS AND OBLIGATIONS

25.1 The contractual agreement between you and us is binding on both parties and our respective successors and assignees.

25.2 You may not transfer, assign, charge, or otherwise dispose of a Contract or any of your rights or obligations under it without our prior written consent.

25.3 We reserve the right to transfer, assign, charge, subcontract, or otherwise dispose of a Contract or any of our rights or obligations under it at any time during the contract term.

  1. WAIVER
  2. Failure on our part to insist on strict performance of any of your obligations at any time or failure to exercise any rights or remedies will not constitute a waiver of such rights or remedies and will not exempt you from fulfilling such obligations.

26.2 Our waiver of any default will not be considered a waiver of any subsequent default.

26.3 No waiver by us of any of these terms and conditions will be effective unless explicitly stated as a waiver and communicated to you in writing.

  1. ENTIRE AGREEMENT

27.1 These Terms and Conditions and any explicitly referenced documents form the complete agreement between us, superseding all previous discussions, correspondence, negotiations, prior arrangements, understandings, or agreements between us concerning the subject matter of any Contract.

27.2 Each of us acknowledges that, in entering into a Contract, neither party relies on any representation or warranty (whether made innocently or negligently) not set out in these terms and conditions or the referenced documents.

27.3 Both parties agree that any liability for representations and warranties made in this agreement (whether made innocently or negligently) will be limited to breach of contract.

27.4 This clause does not limit or exclude liability for fraud.

  1. OUR RIGHT TO VARY THESE TERMS AND CONDITIONS

28.1 We reserve the right to revise and amend these terms and conditions periodically.

28.2 We may revise these terms of use at any time by making changes to this page. You are expected to review this page periodically to stay informed of any changes as they are binding on you.

  1. SEVERENCE

29.1 If any court or competent authority determines that any provision of these terms and conditions is invalid, unlawful, or unenforceable to any extent, that provision will be severed from the remaining terms, which will remain valid to the fullest extent permitted by law.

  1. STATUS

30.1 Nothing within these terms is intended to establish any partnership or joint venture between us or to designate either party as an agent or employee of the other.

  1. THIRD PARTY RIGHTS

31.1 A person who is not a party to these terms and conditions or a Contract shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.

  1. JURISDICTION AND APPLICABLE LAW

32.1 The English courts shall hold non-exclusive jurisdiction over any claim arising from or connected to a visit to Squaredeal, while we reserve the right to initiate legal proceedings against you for breach of these conditions in your country of residence or any other relevant country.

32.2 These terms of use, along with any dispute or claim arising from or related to them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales."
